Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Signal Labs, a creative strategy platform for Meta advertising operated by Halfdome (“Signal Labs”, “we”, “us”, or “our”). By creating an account or using the Signal Labs web application and related services (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
The Service is intended for business users aged 18 or over. You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at harry.mcgovern@halfdome.com.au of any unauthorised use.
2. The Service
Signal Labs provides tools for audience research, AI-generated personas, synthetic focus groups, creative briefs, and Meta advertising performance reporting. We may add, change, or remove features at any time. We may also set reasonable usage limits to keep the Service reliable for everyone.
3. Connecting Your Meta Account
Some features require you to connect a Meta (Facebook/Instagram) Business or Ads account. By connecting it, you authorise us to access advertising data through the Meta Marketing API to provide the Service. You represent that you have the authority to connect the account and grant this access. Your use of Meta’s products remains subject to Meta’s own terms, and our handling of Meta data is described in our Privacy Policy.
4. Acceptable Use
You agree not to:
- Use the Service in violation of any law, regulation, or third-party rights;
- Violate the terms or policies of Meta or any other integrated platform, including the Meta Platform Terms;
- Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law;
- Attempt to gain unauthorised access to the Service, other accounts, or our systems, or interfere with their operation;
- Upload malicious code, or content that is unlawful, infringing, or harmful; or
- Use the Service to build a competing product.
5. Your Content
You retain all rights to the content and data you submit to the Service (“Your Content”), including briefs, inputs, and connected advertising data. You grant us a limited, non-exclusive licence to host, process, and use Your Content solely to operate and provide the Service to you, including sending it to our AI processors to generate outputs. You are responsible for Your Content and confirm you have the rights needed to submit it.
6. AI-Generated Outputs
The Service uses artificial intelligence to generate research, personas, focus-group simulations, briefs, and recommendations (“Outputs”). Outputs are generated from your inputs and connected data and may be inaccurate, incomplete, or unsuitable for a given purpose. Outputs are provided for informational purposes and are not professional, legal, or financial advice. You are responsible for reviewing Outputs and deciding how to use them, including before spending on advertising.
7. Intellectual Property
The Service, including its software, design, and content (excluding Your Content), is owned by Signal Labs and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. All rights not expressly granted are reserved.
8. Third-Party Services
The Service integrates with third-party services, including Meta, Supabase, and Google. Your use of those services is governed by their own terms and policies, and we are not responsible for them. We may suspend or discontinue an integration if a third party changes or withdraws access.
9. Fees
If the Service or specific features are offered on a paid basis, the applicable fees, billing cycle, and payment terms will be presented to you before you purchase. Unless stated otherwise, fees are non-refundable except where required by law. We may change fees on reasonable notice.
10. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we may delete Your Content in accordance with our Privacy Policy.
11. Disclaimers
The Service and Outputs are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Outputs will be accurate or produce any particular advertising result. Nothing in these Terms excludes rights or guarantees that cannot be excluded under the Australian Consumer Law or other applicable law.
12. Limitation of Liability
To the maximum extent permitted by law, Signal Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless Signal Labs and its personnel from any claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of the courts of Australia, without regard to conflict-of-laws principles.
